Acceptance
- By accessing or using Kaventara Style CRM, you agree to these Terms & Conditions.
- If you use the platform for a business, you represent that you are authorized to bind that business to these terms.
- Connecting or using a payment provider through Payment Connect constitutes additional acceptance of the current Payment Responsibility Terms displayed in the workspace.
Platform Services and Role
- Kaventara Style provides multi-tenant SaaS tools for CRM, booking, staff management, client management, sales records, invoices, forms, reports, email tools, platform subscription billing, and connections to independent third-party payment providers.
- Kaventara and OCODERZ LLC are not the seller or provider of goods or services offered by a tenant business and are not a party to transactions between a tenant and its customers.
- Payment Connect supplies software integration and payment-routing functionality. It does not make Kaventara or OCODERZ LLC the tenant merchant, payment provider, bank, escrow agent, fiduciary, or guarantor.
- Features may change as the platform improves, and some functionality depends on correct tenant setup, payment-provider availability, email configuration, and hosting services.
Business Responsibilities
- Each business is responsible for its services, pricing, staff, schedules, customer communications, forms, policies, deposits, refunds, cancellations, taxes, licenses, and legal compliance.
- Businesses are responsible for keeping workspace data accurate and for assigning staff roles carefully.
- Businesses should publish their own customer-facing policies when required for their services or jurisdiction.
Client and Staff Access
- Staff and clients may access portals using the main login flow where enabled.
- Businesses remain responsible for staff permissions and for any activity performed through their workspace users.
Tenant as Seller and Merchant
- Each tenant business is the seller, service provider, and merchant responsible for every transaction with its customers, whether payment is collected through Stripe, Square, cash, card, bank transfer, an external terminal, or any other channel.
- The tenant is solely responsible for accurately describing, pricing, delivering, and supporting its goods and services; obtaining customer authorization; issuing receipts; maintaining refund and cancellation policies; and resolving customer complaints.
- The tenant must comply with consumer-protection, tax, licensing, card-network, payment-provider, advertising, privacy, and other laws applicable to its business and transactions.
Payments, Fees, Fraud, and Disputes
- Platform subscriptions are billed through the Kaventara/OCODERZ LLC Stripe account and are separate from tenant customer payments.
- Tenant customer payments use the tenant independent Standard Stripe account, connected Square account, or another method selected by the tenant. Customer funds do not become Kaventara revenue except for disclosed platform fees.
- Online customer payments processed through Stripe include a 2% Kaventara platform fee. Charging or receiving a platform fee does not transfer the tenant payment obligations or risks to Kaventara or OCODERZ LLC.
- The tenant is solely responsible for transaction authorization, identity and fraud screening, stolen or unauthorized payment methods, refunds, returns, disputes, chargebacks, reversals, retrieval requests, evidence submissions, processing and bank fees, reserves, holds, fines, penalties, taxes, and negative balances.
- The tenant must monitor its own payment-provider dashboard, respond to disputes and information requests by applicable deadlines, maintain sufficient funds, and reimburse amounts owed to its payment provider.
- Stripe, Square, banks, card networks, and other providers operate under their own agreements and may impose verification requirements, reserves, payout delays, account restrictions, or termination. Kaventara does not control their decisions or guarantee approval, payment authorization, payout timing, or dispute outcomes.
SMS Appointment Notifications
- Kaventara may send appointment confirmations and appointment reminders by SMS only when a customer opts in through the public booking form or another approved Kaventara web form.
- The SMS checkbox is separate from the phone field, optional, unchecked by default, and not required to book an appointment. Customers can complete booking without SMS consent.
- SMS is sent under the Kaventara brand through Twilio toll-free messaging and may include the tenant business name for appointment clarity. It is not used for marketing campaigns, invoice notices, form links, password reset codes, verification codes, or promotional messages.
- Message frequency varies based on bookings and reminder settings. Message and data rates may apply. Reply STOP to opt out and HELP for help.
Acceptable Use
- You may not use the platform for unlawful activity, spam, abusive campaigns, fraud, malware, unauthorized access, scraping, infringement, harassment, or activity that harms the platform or other tenants.
- Kaventara may suspend or restrict access for security, non-payment, legal risk, abuse, or violation of these terms.
Healthcare and HIPAA-Aligned Use
- Kaventara Style provides tools designed to support HIPAA-aligned use for eligible healthcare and wellness workflows, including audit logs, private file storage, protected document access, role-based permissions, and security controls.
- Each tenant business remains responsible for its own HIPAA compliance program, customer notices, consents, workforce training, access decisions, retention requirements, and content sent through email or SMS.
- Tenant businesses should not send protected health information through email or SMS unless their workflow, vendors, consent, and policies support that use.
Content and Data
- Businesses retain responsibility for content, client records, uploaded files, forms, email campaigns, and settings they place in the CRM.
- Kaventara and OCODERZ LLC may process data as needed to operate, secure, support, and improve the platform.
Indemnification for Tenant Activity
- To the fullest extent permitted by law, each tenant agrees to defend, indemnify, and hold harmless Kaventara, OCODERZ LLC, and their owners, personnel, and service providers from third-party claims, disputes, chargebacks, losses, liabilities, penalties, costs, and reasonable legal fees arising from goods or services offered by the tenant, customer transactions, fraud, refunds, payment activity, policies, content, legal violations, or misuse of the platform.
- This obligation does not apply to the extent a final determination finds the claim resulted directly from Kaventara or OCODERZ LLC gross negligence, willful misconduct, or liability that applicable law does not permit to be excluded.
Availability and Support
- We work to keep the platform reliable, but do not guarantee uninterrupted or error-free operation.
- Support requests can be submitted through Help > Support or by contacting OCODERZ LLC.
Disclaimers and Limits
- The platform is provided on an as-available basis to the fullest extent permitted by law.
- Kaventara and OCODERZ LLC do not guarantee that a transaction is legitimate, authorized, fraud-free, reversible, collectible, eligible for payout, or protected from dispute or chargeback.
- Kaventara and OCODERZ LLC are not responsible for tenant goods or services, customer disputes, fraud committed by a tenant or customer, staff conduct, payment-provider decisions, account holds, reserves, negative balances, chargebacks, payout delays, or third-party service outages.
- To the fullest extent permitted by law, liability is limited to amounts paid for the platform during the period giving rise to the claim. Nothing in these terms excludes liability that cannot legally be excluded.
Changes and Contact
- We may update these Terms & Conditions as the platform changes. Continued use after updates means you accept the revised terms.
